1. Introduction and Definitions

Welcome to Cellery®. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Loop Data, Inc. DBA Cellery ("Cellery," "Company," "we," "us," or "our") governing your access to and use of the Cellery website (cellery.ai) and all related services, applications, and platforms (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

  • "Services" means the Cellery website, behavioral intelligence platform, APIs, and all related products and services
  • "User" means any individual or entity that accesses or uses our Services

2. Eligibility Requirements

  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using our Services under applicable laws
  • If using Services on behalf of an organization, have authority to bind that organization to these Terms

3. Service Description

Cellery provides a behavioral intelligence Platform-as-a-Service (PaaS) that analyzes behavioral patterns to:

  • Detect and prevent fraud for financial institutions
  • Assess credit risk for thin-file populations
  • Provide customer intelligence and segmentation
  • Deliver real-time risk scoring and fraud prevention

Services are provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

4. User Accounts and Registration

Certain features of our Services may require registration. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELLERY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO CELLERY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending notice to registered users (for material changes)

Your continued use of our Services after changes become effective constitutes acceptance of the revised Terms.
